1. Introduction

Welcome to the Seamless.AI Referral Program ("Program"). By participating, you agree to comply with these Terms and Conditions ("Terms"), the Seamless.AI Terms of Use, and Seamless.AI Privacy Policy. Please read them carefully before engaging in the Program.

2. Eligibility

Participants ("Referrers") must be at least 18 years old. Employees of Seamless.AI and their immediate family members are not eligible to participate.

3. Referral Submission

To refer a potential client ("Referral"):

a.

Complete the referral form with accurate and complete information about the Referral, including their name, business email, and company name; and

b.

Ensure that the Referral is a revenue leader, such as a VP, Director, or decision-maker in Sales, Customer Success, or Business Development.

4. Referral Qualification

A Referral is considered "Qualified" if:

a.

They schedule and attend a demo with the Seamless.AI sales team;

b.

They are not an existing customer or already in contact with Seamless.AI; and

c.

They meet the target criteria specified by Seamless.AI.

5. Rewards

Referrers are eligible for the following rewards:

a.

$100 Gift Card: Awarded for each Qualified Referral that schedules and attends a demo.

b.

Additional Gift Card: Awarded when the Referral becomes a customer through our sales team:

i.

$500 for deals valued at $5,000.

ii.

$1,000 for deals valued at $10,000 or more.

Rewards are cumulative; for example, if a Referral results in a $10,000 deal, the Referrer will receive a total of $1,100 in gift cards.

6. Reward Distribution

Gift cards will be sent to the email address provided by the Referrer within 30 days of the Referral's qualification or deal closure. Seamless.AI reserves the right to substitute gift card types based on availability.

7. Program Limits

8. Confidentiality

Referrers must maintain the confidentiality of all information provided by Seamless.AI and the Referral, using it solely for Program participation purposes.

9. Compliance with Laws

Participants are responsible for complying with all applicable local, state, federal, and international laws, including data protection and anti-spam laws, when participating in the Program. Any taxes, levies, or fees associated with receiving rewards are the sole responsibility of the Referrer. Seamless.AI is not responsible for withholding or remitting any taxes on behalf of Referrers. If total rewards received by a Referrer exceed $600 in a calendar year, Seamless.AI may require a completed W-9 form for U.S. residents and issue a 1099-NEC for tax reporting purposes.

10. Termination and Modification

Seamless.AI reserves the right to modify or terminate the Program or these Terms at any time without prior notice. Changes will be effective upon posting on the Seamless.AI website.

11. Limitation of Liability

Seamless.AI is not responsible for any damages or losses arising from participation in the Program or the use of rewards.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles.
